Procureezy ("Company", "we", "our", "us") operates a procurement platform for hardware engineers, offering tools to automate supplier sourcing and parts procurement, as well as a marketplace to find suppliers. These Terms govern the use of the Procureezy platform ("Platform").

2. User Accounts

a. Account Creation - To access certain features of our Platform, you must register for an account. You agree to provide accurate, complete, and updated information during the registration process and to update this information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

b. Responsibility - You are responsible for safeguarding your account login information and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately if you become aware of any breach of security or unauthorized use of your account.

3. Use of the Platform

a. License - We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Platform for personal and professional purposes in accordance with these Terms.

b. Prohibited Conduct - You agree not to:

- Use our Platform for any illegal purpose or in violation of any local, state, national, or international law.

- Decompile, reverse engineer, or otherwise attempt to obtain the source code of the Platform.

- Upload or transmit any form of malicious code, such as viruses, worms, or any other software that may damage or alter the Platform or interfere with its operation.

4. Transactions

a. Payments - If you make a purchase through our Platform, you agree to provide accurate payment information, and you authorize us to charge your specified payment method for any such transactions.

b. Refunds - Refund policies may vary depending on the product or service you purchase. Please review the specific terms related to refunds at the time of purchase.

5. Content

a. User Content - You retain ownership of any content you submit, post, or display on or through the Platform. By submitting, posting, or displaying content on or through the Platform, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods.

b. Incident Reporting - If you believe that your rights have been violated or you have other concerns, please report the incident to us immediately.

6. Marketplace

If you use our marketplace to buy or sell products:

a. Buyer Responsibilities - Buyers are responsible for reading the full item listing before making a commitment to buy and for ensuring that the purchase complies with all applicable laws and regulations.

b. Seller Responsibilities - Sellers must accurately describe their products and services, fulfill orders promptly, and comply with all applicable laws and regulations.

7. Termination

We reserve the right to suspend or terminate your account and your access to the Platform at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination, you continue to be bound by relevant sections of these Terms.

8. Disclaimers

Our Platform is provided "as is" and "as available" without any warranties or conditions of any kind, either express or implied. We do not guarantee the accuracy, completeness, or usefulness of the Platform, and you rely on the Platform and any content contained therein at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Procureezy be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

- Your use or inability to use the Platform.

- Any unauthorized access to or use of our servers and/or any personal information stored therein.- Any interruption or cessation of transmission to or from our Platform.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France and applicable laws of the European Union, without regard to its conflict of law principles.

11. Changes to These Terms

We may revise these Terms from time to time. If we make changes, we will notify you by revising the date at the top of the Terms and, in some cases, we may provide you with additional notice. You should review these Terms periodically to stay informed about our practices. By continuing to use our Platform after these changes become effective, you agree to be bound by the revised Terms.
